Legal Commentary & Landmark Judgments: Section 197

Section 197 provides that the ratification of an unauthorized act done on a person's behalf may be either express or implied from the conduct of the person on whose behalf the act was performed.

  • Express Ratification: Affirmation through explicit written communication, formal board resolution, execution of confirmatory deeds, or clear spoken words adopting the unauthorized act.
  • Implied Ratification through Conduct: Inferred where the principal, with knowledge of the facts, accepts the benefits of the unauthorized transaction, demands performance, retains consideration, or defends the act in legal proceedings.
  • Equivalence to Prior Authority: Under the doctrine omnis ratihabitio retrotrahitur et mandato priori aequiparatur, valid ratification (express or implied) relates back and validates the unauthorized act from its inception.
Key Landmark Precedents:
  • Harshad J. Shah v. LIC of India (1997) 5 SCC 64: The Supreme Court held that implied ratification cannot be inferred from mere passive retention of a cheque by an unauthorized agent; the principal must have full knowledge and manifest clear conduct adopting the transaction.
  • Maharashtra State Mining Corpn. v. Sunil (2006) 5 SCC 96: The Supreme Court held that ratification by the Board of Directors of an invalid dismissal order passed by an unauthorized Managing Director relates back to the original date of dismissal, validating it completely.
  • Chairman, Life Insurance Corporation of India v. Rajiv Kumar Bhaskar (2005) 6 SCC 188: The Supreme Court held that continuous acceptance of premium deductions by the insurer operated as implied ratification and adoption of the employer's agency.
Courtroom Practice & Strategic Litigation Guidance:

In commercial litigation, to establish implied ratification under Section 197, trace the flow of funds and corporate communications. If the defendant company deposited sale proceeds or utilized equipment procured by an unauthorized employee, produce bank statements and asset registers. Plead that retaining benefits with knowledge constitutes an irrevocable implied ratification under Section 197.
