Legal Commentary & Landmark Judgments: Section 196
Where acts are done by one person on behalf of another, but without their knowledge or authority, the person on whose behalf the acts were done may elect to ratify or to disown such acts. If the principal ratifies the unauthorized act, the same legal consequences follow as if the act had been performed by their prior authority, giving retroactive validity to the transaction.
Corporate boards frequently utilize Section 196 to ratify contracts executed by executives before formal board resolutions were passed. For a valid ratification, the board must have full knowledge of all material facts and the transaction must be one which the company had corporate capacity to enter into at the time of execution.
