Legal Commentary & Landmark Judgments: Section 92

Section 92 mandates the preparation, certification, and filing of the statutory Annual Return (Form MGT-7), capturing the company's financial, managerial, operational, and shareholding position as at the close of the financial year.

  • Statutory Annual Filing: Section 92 requires every company to prepare an annual return in prescribed Form MGT-7 containing comprehensive particulars regarding registered office, principal business activities, holding/subsidiary companies, shares, debentures, indebtedness, members, debenture holders, promoters, directors, key managerial personnel, meetings held, and remuneration.
  • Core Legal Standard: The return must be signed by a director and the company secretary (or practicing company secretary if no CS is employed).
  • Operational Mechanism: For listed companies and companies having prescribed capital/turnover, the return must be certified by a practicing Company Secretary in Form MGT-8.
  • Procedural Rule: The return must be filed with the ROC within sixty days of the AGM.

Sub-section (5) imposes heavy penalties on default, while sub-section (6) subjects certifying company secretaries to severe fines for false certification.

Key Landmark Precedents:
  • Dale & Carrington Investment P. Ltd. v. P.K. Prathapan (2005) 1 SCC 212: The Supreme Court relied upon statutory annual returns filed with the ROC as vital official public records determining shareholder shareholding patterns, director status, and bona fides of share allotments.
  • State of Maharashtra v. Syndicate Transport Co. (P) Ltd. AIR 1964 Bom 195: The court affirmed that filing the annual return is a mandatory statutory duty under criminal sanction, designed to provide public notice to creditors and investors regarding the company's governance.
Legal Commentary:

The annual return is the most important annual disclosure document filed with the Ministry of Corporate Affairs. In corporate litigation before the NCLT, annual returns carry immense evidentiary weight under Section 95. Practicing Company Secretaries issuing MGT-8 compliance certificates face personal disciplinary action from the ICSI and MCA penalties under Section 92(6) for misrepresenting shareholding or board composition.
