Legal Commentary & Landmark Judgments: Section 383

Section 383 codifies the procedural mechanism for serving judicial summons, notices, or legal process on a foreign company by delivering them to its resident authorized representative or by sending them to its registered office in India.

  • Designated Resident Recipient: Service of any process, notice, or document is legally complete and valid when addressed to the person whose name has been delivered to the Registrar under Section 380 as authorized to accept service.
  • Recognized Modes of Transmission: Service may be effected by personal delivery, registered post, or electronic transmission to the designated resident representative's official address or the principal place of business in India.
  • Subsidiary Service upon Default: If the foreign company fails to designate a resident agent, or if the designated agent refuses service, dies, or cannot be found, service is lawfully effected by posting the document at any place of business established by the company in India.
Key Landmark Precedents:
  • Deverall v. Grant Advertising Inc., [1955] Ch 111 (CA): Held that service of process upon the designated representative of a foreign corporation is valid and effective service upon the company, regardless of whether the agent communicates the notice to the foreign head office.
  • Dunlop Pneumatic Tyre Co. v. A.G. Cudell & Co., [1902] 1 KB 342: Affirmed that foreign corporations carrying on business through an established base submit to domestic procedural service, and service at the localized business address confers valid in personam jurisdiction.
Courtroom Practice & Strategic Litigation Guidance:

When instituting civil suits, arbitration petitions, or NCLT proceedings against a foreign entity, always effect service on the authorized representative registered in Form FC-1. File the RoC master data extract alongside the postal tracking receipt to defeat any ex-parte set-aside application grounded in alleged non-service under Order IX Rule 13 of the CPC.
