Legal Commentary & Landmark Judgments: Section 32

Section 32 governs the issuance of a 'Red Herring Prospectus' in book-built public issues, allowing the issuer to circulate an incomplete prospectus that omits the final quantum or price of the offered securities.

  • Permissible Statutory Incompleteness: A red herring prospectus may omit particulars of the exact quantum of securities offered or the specific issue price, providing a price band or floor price instead.
  • RoC Filing Prior to Issue Opening: The issuer must file the red herring prospectus with the Registrar at least three days prior to the opening of the subscription list and offer.
  • Filing of Final Complete Prospectus: Upon closing of the offer, the final prospectus stating the total capital raised, closing price, and all discrepancies between the red herring and final prospectus must be registered with the RoC and SEBI.
Key Landmark Precedents:
  • SEBI v. Sterlite Industries (India) Ltd., (2003) 113 Comp Cas 273 (Bom): The Bombay High Court held that the red herring prospectus is a discovery mechanism for market price determination, requiring scrupulous disclosures of all operational risks.
  • Re: Reliance Power Ltd., (2008) 143 Comp Cas 712 (Del): Affirmed that the price discovery mechanism in a red herring prospectus binds retail applicants who bid within the price band, subject to mandatory post-issue registration of the complete prospectus.
Courtroom Practice & Strategic Litigation Guidance:

In book-built IPOs, verify that the Red Herring Prospectus is registered with the RoC at least 3 days prior to bid opening under Section 32(2). Any material change in the interim necessitates an addendum and extension of the bidding period by at least 3 working days.
