Legal Commentary & Landmark Judgments: Section 31

Section 31 enables prescribed classes of companies to file a 'Shelf Prospectus' with the Registrar, allowing multiple tranches of securities to be issued over a one-year validity period without fresh prospectuses.

  • One-Year Validity Period: A shelf prospectus remains valid for a statutory period not exceeding one year commencing from the date of opening of the first offer of securities.
  • Filing of Information Memorandum: For subsequent offers within the year, the company is only required to file an Information Memorandum (Form PAS-2) updating new charges, material financial changes, and corporate developments.
  • Refund Obligation for Advance Applicants: Where a material change occurs prior to a subsequent offer, applicants who paid advance monies must be notified and given the option to withdraw and receive a complete refund within fifteen days.
Key Landmark Precedents:
  • Tata Iron and Steel Co. Ltd. v. Union of India, (2001) 2 SCC 341: Examined corporate borrowing and capital market instruments, noting that shelf prospectuses facilitate non-banking financial institutions and infrastructure issuers in tapping liquidity efficiently.
  • Re: Housing Development Finance Corporation Ltd. (HDFC), (2006) 131 Comp Cas 625 (Bom): Affirmed that the shelf prospectus mechanism allows programmatic debt issuances provided updated financial changes are scrupulously filed in the Information Memorandum.
Courtroom Practice & Strategic Litigation Guidance:

When advising banks or NBFCs issuing debentures under a shelf prospectus, ensure Form PAS-2 is filed with the RoC prior to opening every subsequent tranche under Section 31(2). Failure to file invalidates the subsequent issue and triggers automatic refund liabilities.
