Legal Commentary & Landmark Judgments: Section 108

Section 108 of the Transfer of Property Act, 1882 sets out the comprehensive statutory rights and liabilities of the lessor and lessee in the absence of an express contract.

  • Rights of the Lessee: Under Section 108, the lessee enjoys accessions to the property, the right to avoid the lease upon destruction by fire or flood, the right to deduct costs of necessary repairs, and the right to remove all fixtures before vacating.
  • Obligations of the Lessee: The lessee has the right to sub-let or assign in the absence of prohibition, subject to the mandatory statutory duties to maintain and restore the property in good condition and surrender vacant possession upon determination of the lease.

This statutory framework establishes clear operational guidelines, balancing legal compliance with procedural safeguards.

Key Landmark Precedents:
  • T. Lakshmipathi v. P. Nithyananda Reddy (2003) 5 SCC 150: The Supreme Court held that doctrine of frustration under Section 56 of the Contract Act does not apply to leases; leasehold destruction is governed exclusively by Section 108(e) of the TPA, which gives the lessee the option to treat the lease as void.
  • Pravful Kumar v. State of Maharashtra (2008) 2 SCC 532: The Court affirmed that the tenant's right to remove all structures and fixtures erected by him under Section 108(h) must be exercised during the continuance of the lease or within reasonable time thereafter.
Legal Commentary:

Unlike ordinary commercial contracts where frustration under Section 56 Contract Act applies automatically upon destruction of premises, leases are governed by Section 108(e) TPA. If a leased building is destroyed by fire, the lease does not terminate automatically; the tenant must affirmatively serve notice exercising the option to treat the lease as void, failing which rent remains payable.
