Legal Commentary & Landmark Judgments: Section 31
Section 31 of the Indian Stamp Act, 1899 provides for the administrative adjudication of stamp duty by the Collector upon voluntary submission of an instrument by any person.
Section 31 enables parties to obtain conclusive administrative adjudication of stamp duty from the Collector, eliminating uncertainty prior to formal registration.
Sub-section (2) empowers the Collector to call for affidavits and documentary evidence to satisfy themselves whether all facts affecting duty are truly stated. Crucially, Section 31 does not authorize the Collector to impound an unexecuted draft or an executed instrument brought voluntarily for opinion under this section.
Section 31 is an invaluable preventive mechanism in high-value corporate restructuring, mergers, and complex cross-border joint ventures. Contracting parties can submit draft agreements to the Collector for formal stamp adjudication prior to execution, eliminating future risks of impounding or penal assessments under Section 33.
