Legal Commentary & Landmark Judgments: Section 52

Section 52 of the Industrial Relations Code, 2020 defines the universal binding reach of settlements and awards—binding all current workers, future entrants, employers, and their successors and assigns—while providing for the transitional absorption of sitting Presiding Officers as Judicial Members.

  • Universal Collective Reach of Settlements & Awards: A settlement arrived at in conciliation or an award of a Tribunal binds all parties to the dispute, all workers employed in the establishment on the dispute date, and all persons who subsequently become employed therein.
  • Binding Effect on Successors and Assigns: Awards and conciliation settlements bind the employer's heirs, successors, and assigns in respect of the establishment, preventing evasion of labour liabilities through corporate restructuring or sale.
  • Transitional Judicial Absorption: Sitting Presiding Officers of Labour Courts and Tribunals under the 1947 Act holding office immediately before the Code's commencement are statutorily absorbed as Judicial Members for their remaining tenures.
Key Landmark Precedents:
  • Ramnagar Cane and Sugar Co. Ltd. v. Jatin Chakravorty AIR 1960 SC 1012: Landmark Supreme Court decision holding that a settlement arrived at during conciliation proceedings binds all workmen of the establishment, including minority union members who refused to sign.
  • Associated Cement Companies Ltd. v. Their Workmen AIR 1960 SC 777: Affirmed that industrial awards attach to the industrial establishment and remain binding upon successor entities that take over the going concern.
Courtroom Practice & Strategic Litigation Guidance:

In corporate mergers, acquisitions, and asset purchases, conduct due diligence on all active settlements and awards under Section 52. Because the statute binds successors and assigns, the acquirer automatically inherits all collective bargaining obligations and wage parity liabilities.
