Section 59 governs the Voluntary Liquidation of corporate persons that have not committed any default, prescribing strict conditions including a formal declaration of solvency by a majority of directors.

  • Precondition - Zero Default: A corporate person who has not committed any default may initiate voluntary liquidation proceedings under this section.
  • Declaration of Solvency (Section 59(3)(a)): A majority of the directors must make a statutory declaration verified by affidavit stating that: (i) They have made full inquiry into the affairs and the company has no debts or can pay debts in full from proceeds; (ii) The company is not being liquidated to defraud any person.
  • Special Resolution of Members: Requires a special resolution of the members of the company passed within four weeks of the declaration of solvency, appointing an insolvency professional as liquidator.
  • Creditor Approval (Two-Thirds Majority): If the corporate person owes any debt, creditors representing two-thirds in value of the debt must approve the resolution within seven days.
