Legal Commentary & Landmark Judgments: Section 27

Section 27 empowers the Committee of Creditors to replace the Resolution Professional at any time during the CIRP by a resolution passed with a majority of sixty-six percent of voting shares.

  • Plenary Power of CoC to Replace RP: The Committee of Creditors may, at any time during the CIRP, replace the Resolution Professional with another RP.
  • 66% Voting Threshold: Requires a resolution approved by not less than sixty-six percent of the voting share of the financial creditors.
  • Procedure for Replacement: The CoC shall forward the name of the proposed RP to the Adjudicating Authority, which refers to the IBBI for confirmation before formal appointment.
Key Landmark Precedents:
  • Committee of Creditors of Essar Steel India Ltd. v. Satish Kumar Gupta (2020) 8 SCC 531: The Supreme Court held that the CoC's power to replace the RP under Section 27 is an unreserved commercial prerogative; the CoC is not required to establish misconduct or prove allegations against the outgoing RP.
  • K. Sashidhar v. Indian Overseas Bank (2019) 12 SCC 150: Affirmed that courts will not review the CoC's decision to replace the RP under Section 27 provided the 66% majority is satisfied.
Courtroom Practice & Strategic Litigation Guidance:

When moving an application under Section 27 before the NCLT for replacement of an RP, simply annex the CoC resolution, voting sheet showing >66% approval, and the written consent (Form 2) of the incoming RP. No adversarial allegations need to be pleaded.
