Legal Commentary & Landmark Judgments: Section 37
The fundamental statutory mandate of contract law requires contracting parties to either perform, or offer to perform, their respective promissory obligations, unless performance is legally dispensed with or excused under the Contract Act or any other applicable law. Contractual liabilities survive the promisor and bind their legal representatives and corporate successors, unless a contrary intention appears from the contract's terms or the nature of the engagement.
Section 37 demonstrates that death does not terminate ordinary commercial contracts. The estate of a deceased promisor remains liable to the extent of inherited assets, unless the contract expressly stipulated personal performance (e.g. painting a portrait, writing a book, or singing).
