Legal Commentary & Landmark Judgments: Section 32
Enforcement of contracts contingent upon an affirmative future event remains statutorily barred until that specified event actually occurs. If the collateral event becomes impossible or is permanently frustrated, the agreement becomes void as a matter of law, discharging all parties from executory performance without giving rise to an action for breach or specific performance.
When drafting force majeure provisions, contract lawyers must realize that an agreed force majeure clause falls directly under Section 32 as a contingent contractual term, meaning the contract will be governed strictly by its drafted language rather than the common law doctrine of frustration.
