Legal Commentary & Landmark Judgments: Section 237
When an agent has, without authority, done acts or incurred obligations to third persons on behalf of their principal, the principal is bound by such acts or obligations if they have by their words or conduct induced such third persons to believe that such acts and obligations were within the scope of the agent's authority. This provision codifies the commercial doctrine of ostensible or apparent authority.
To protect against Section 237 estoppel, commercial companies must actively publicize the limits of their representatives' authority through public disclaimers, dual-signature requirements, and explicit limitation of authority clauses in standard contract documentation.
