Legal Commentary & Landmark Judgments: Section 202
Where the agent has themselves an interest in the property which forms the subject-matter of the agency, the agency cannot, in the absence of an express contract, be terminated to the prejudice of such interest. This provision codifies the equitable doctrine of an agency coupled with an interest, establishing the absolute irrevocability of the agent's authority.
John, such an agency cannot be revoked by the principal, nor is it terminated by the death, mental incapacity, or insolvency of the principal; the authority survives to ensure the complete satisfaction of the agent's underlying financial claim.
Lenders who obtain irrevocable powers of attorney as loan security rely on Section 202. The instrument must explicitly recite the loan liability and convey a security interest in the underlying assets, thereby preventing the borrower or their legal heirs from revoking the attorney's powers.
