Legal Commentary & Landmark Judgments: Section 188
An agent having authority to do an act has implied statutory authority to do every lawful thing which is necessary in order to do such act. If the agent is authorized to conduct a business, they have implied authority to do every lawful thing necessary for that purpose, or usually done in the course of conducting such business.
General powers of attorney (GPAs) are strictly construed under Section 188. If a GPA authorizes an agent to 'manage properties', that does NOT confer implied authority to sell, mortgage, or create long-term leases over the property unless explicit empowering language is included.
