Legal Commentary & Landmark Judgments: Section 164

Section 164 imposes statutory liability upon the bailor to indemnify the bailee for any loss sustained by the bailee because the bailor was not entitled to make the bailment, or to receive back the goods, or to give directions regarding them.

  • Bailor's Implied Warranty of Title and Authority: The statute enacts an implied warranty that the bailor has lawful title, authority, and capacity to bail the goods, instruct the bailee, and retake delivery.
  • Incurrence of Loss by Bailee: The bailee sustains actual financial loss, legal expenses, damages, or claims from true owners or third parties resulting directly from the bailor's defective title or wrongful instructions.
  • Statutory Right of Indemnity: The bailee possesses an independent, enforceable cause of action against the bailor for full indemnity and reimbursement of all liabilities incurred in consequence of the bailor's defective authority.
Key Landmark Precedents:
  • Sheffield Corporation v. Barclay [1905] AC 392: The House of Lords established that where an indemnifier requests another to act in a manner which innocently infringes third-party rights, the law implies a contract to indemnify the actor for all resulting liabilities.
  • Kallu Mal v. Municipal Board, Ferozepur AIR 1942 Lah 238: The Court ruled that where a bailor lacks authority to bail property, the bailee who faces third-party litigation or pays damages to the true owner is entitled to full recovery from the bailor under Section 164.
Courtroom Practice & Strategic Litigation Guidance:

In commercial warehousing and logistics disputes, where a bailee is sued for conversion by a third party claiming ownership, the bailee should immediately issue a third-party notice under Order VIIIA CPC (where applicable) or file an indemnity suit against the bailor under Section 164, claiming all costs of defending the third-party suit and any damages awarded.
