Legal Commentary & Landmark Judgments: Section 134
The surety is discharged by any contract between the creditor and the principal debtor by which the principal debtor is released, or by any act or omission of the creditor the legal consequence of which is the discharge of the principal debtor. Because the surety's obligation is accessory to the primary debt, the extinction or voluntary release of the underlying obligation necessarily extinguishes the secondary liability of the guarantor.
Section 134 operates strictly where the creditor voluntarily releases the debtor through agreement or procedural abandonment. Where statutory insolvency cleanses the corporate debtor, Section 134 offers no defense to personal guarantors, whose independent liabilities survive intact.
