Statutory Defined Terms in this Section:(Click any term for official legal definition)
Section 369 of the Companies Act, 2013 preserves all pre-existing debts, contracts, and liabilities incurred by or on behalf of the converted entity, ensuring unbroken continuity of contractual and financial obligations post-registration.
Preservation of Incurred Liabilities: Registration under Chapter XXI does not affect or diminish any debt, liability, or obligation incurred by or on behalf of the entity prior to registration.
Continuity of Pre-Existing Contracts: All contracts, bonds, and commercial agreements entered into prior to conversion remain fully valid, enforceable, and binding on the newly registered company without requiring novation.
Dual Recourse and Personal Responsibility: While the registered company assumes liability by statutory succession, the personal liability of partners for obligations incurred prior to incorporation remains preserved unless novated with creditor consent.
Key Landmark Precedents:
S.P. Shenbagamoorthy v. Dr. V.D. Swamy, (1998) 94 Comp Cas 101 (Mad): The High Court held that registration of a firm under Part IX does not extinguish the personal liability of partners for pre-incorporation debts; the newly formed company becomes liable alongside the erstwhile partners.
Rama Corporation Ltd. v. Proved Tin and General Investments Ltd., [1952] 2 QB 147: Established the company law principle that corporate transformations preserve unbroken commercial liabilities, shielding contracting third parties from structural evasions.
Re: Indo-Burma Petroleum Co. Ltd., (2003) 115 Comp Cas 827 (Cal): The Division Bench affirmed that statutory re-registration preserves all liabilities by operation of law, ensuring complete contractual continuity.
Courtroom Practice & Strategic Litigation Guidance:
When suing a company converted from a partnership for pre-incorporation debts, join both the newly registered company and the individual partners as co-defendants. Section 369 prevents the company from disclaiming pre-existing contracts, while preserving personal partner liability for prior obligations.
