Legal Commentary & Landmark Judgments: Section 348

Section 348 of the Companies Act, 2013 mandates that if winding up is not concluded within one year of commencement, the Company Liquidator must submit periodic audited statements regarding the proceedings and financial position of the liquidation.

  • One-Year Trigger: Applies whenever the liquidation process remains uncompleted at the expiry of one year from the date of commencement of winding up.
  • Annual Audited Reporting: The Liquidator must submit periodic statements (at intervals not exceeding one year) in prescribed forms, verified by affidavit and audited, to the Tribunal (or Registrar).
  • Creditor / Contributory Right of Inspection: Any creditor or contributory is statutorily entitled to inspect the statement and obtain copies upon payment of prescribed fees; penal fines apply for liquidator default.
Key Landmark Precedents:
  • Re: Stock and Share Auction and Banking Co., [1894] 1 Ch 736: Held that statutory provisions requiring periodic liquidator accounts are vital supervisory tools to prevent liquidators from hoarding estate funds or stalling distributions.
  • Official Liquidator v. Smt. Kamala Devi, (1982) 52 Comp Cas 490 (All): Affirmed that failure of the liquidator to submit periodic returns of pending liquidation constitutes a serious procedural lapse warranting judicial admonition and cost imposition.
  • Registrar of Companies v. Southern Steelcraft Ltd., (1998) 92 Comp Cas 851 (Mad): Held that the statutory requirement to file information on pending liquidation is mandatory, and defaulting liquidators are personally liable for prescribed statutory fines.
Courtroom Practice & Strategic Litigation Guidance:

Counsel representing dissatisfied creditors should obtain certified copies of the Liquidator's Section 348 statements from the NCLT or RoC registry. If the liquidator has failed to file returns for over a year, file a petition under Section 353 to compel filing and seek expedited distribution or removal of the liquidator.
