Legal Commentary & Landmark Judgments: Section 332

Section 332 of the Companies Act, 2013 invalidates any floating charge on the company's undertaking or property created within twelve months preceding the commencement of winding up, unless the company is proved to have been solvent immediately after its creation, preserving only contemporaneous or subsequent cash advances.

  • Twelve-Month Vulnerability Horizon: Applies to every floating charge created within twelve months immediately preceding the commencement of the company's winding up.
  • Presumption of Invalidation: The floating charge is invalid by default unless the charge-holder discharges the burden of proving that the company was commercially solvent immediately after the charge was executed.
  • Cash Advance Exemption: The charge remains valid strictly to the extent of any actual cash paid to the company at the time of, or subsequent to, the creation of the charge, together with interest at the statutory or notified rate.
Key Landmark Precedents:
  • CIT v. National Syndicate, AIR 1961 SC 398: The Supreme Court recognized the nature of a floating charge, affirming that statutory provisions restricting floating charges in winding up protect general unsecured creditors against last-minute encumbrances by insiders.
  • Re: Columbian Fireproofing Co. Ltd., [1910] 2 Ch 120: Held that 'cash paid to the company at the time of creation' must be bona fide new capital injected into corporate coffers and cannot be an artificial paper transaction converting past unsecured debts into secured claims.
  • Re: Matthew Ellis Ltd., [1933] Ch 358: Held that where a floating charge was executed to secure past advances under a circular arrangement, the charge is invalid under statutory provisions, preserving validity only for genuine new considerations.
Courtroom Practice & Strategic Litigation Guidance:

In defending against a debenture-holder or lender claiming under a floating charge created within 12 months of winding up, challenge the charge under Section 332. Demand production of cash books and bank statements proving solvency on the date of execution. If the lender cannot establish immediate solvency, the charge is extinguished save for genuine contemporaneous cash advances.
