Legal Commentary & Landmark Judgments: Section 327

Section 327 establishes statutory priorities for payment of debts in winding up, giving priority to government revenues, employee wages, and accrued holiday remuneration.

  • Sub-Section (7): Sections: Sub-section (7) of Section 327 provides that the priority provisions of Sections 326 and 327 shall apply notwithstanding anything to the contrary contained in any other law for the time being in force.
  • Core Legal Standard: 327 shall not apply to proceedings under the Insolvency and Bankruptcy Code (IBC), where Section 53 waterfall strictly governs.
Key Landmark Precedents:
  • State Bank of Bikaner & Jaipur v. National Iron & Steel Rolling Corpn. (1995) 2 SCC 19: The Supreme Court recognized that statutory priority of state revenues and employee dues in winding up takes effect strictly in accordance with legislative classification.
  • Employees Provident Fund Commissioner v. Official Liquidator of Esskay Pharmaceuticals Ltd. (2011) 10 SCC 727: The Supreme Court held that employee provident fund and welfare dues do not form part of the liquidation estate and must be paid in absolute priority over all other secured and unsecured creditors.
Legal Commentary:

Section 327 governs traditional company winding up before the NCLT. Crucially, sub-section (7) clarifies that whenever liquidation proceeds under the Insolvency and Bankruptcy Code (IBC), the IBC Section 53 waterfall overrides Section 327. Employee provident and pension fund assets remain inviolable statutory trusts under both regimes.
