Legal Commentary & Landmark Judgments: Section 295

Section 295 of the Companies Act, 2013 empowers the Tribunal to issue summary payment orders directing any contributory on the list to pay any moneys due from him to the company, regulating the statutory extent and prohibition of set-off against calls.

  • Summary Order for Payment of Debts: The Tribunal may, at any time after making a winding-up order, require any contributory settled on the list to pay any money due from him or from the estate he represents, exclusive of any money payable under a call.
  • Set-Off Rules for Unlimited and Limited Companies: In unlimited companies, the Tribunal may allow a contributory a set-off against debts due from the company on independent dealings; in limited companies, set-off is restricted to directors and managers whose liability is unlimited.
  • General Prohibition of Set-Off Against Calls: No contributory of a limited company is entitled to set off debts owed to him by the company against unpaid capital calls until all external creditors have been paid in full.
Key Landmark Precedents:
  • In re Overend, Gurney & Co. (Grissell's Case), (1866) LR 1 Ch App 528: The landmark English precedent establishing that a shareholder who is also a creditor of a limited company cannot set off his debt against call liability; he must pay calls in full like any other contributory and prove for his debt pari passu with outside creditors.
  • Official Liquidator v. Smt. K.N. Subbarathnam, (1975) 45 Comp Cas 678 (Mad): The Madras High Court held that Section 469 (now Section 295) confers summary jurisdiction on the company court to order payment of debts due from contributories, bypassing the necessity of filing cumbersome regular civil suits.
Courtroom Practice & Strategic Litigation Guidance:

In liquidation proceedings, when a contributory attempts to resist an order for payment of unpaid share money or contractual dues by claiming a reciprocal set-off for unsecured loans advanced to the company, counsel for the liquidator must cite Grissell's Case and Section 295(2) to demonstrate that statutory capital obligations must be discharged in full prior to any dividend distribution.
