Legal Commentary & Landmark Judgments: Section 286

Section 286 of the Companies Act, 2013 regulates the extended liability of directors and managers whose liability is unlimited under the company's constitution, governing their contribution obligations toward corporate debts and liquidation expenses subject to statutory safe harbours.

  • Unlimited Liability in Winding Up: In a company where the liability of a director or manager is unlimited under its memorandum, such officer is liable to make contributions to the assets of the company over and above his ordinary liability as a contributory.
  • One-Year Safe Harbour for Past Directors: A past director or manager whose liability was unlimited is not liable to make such extended contribution if he ceased to hold office for one year or more before the commencement of the winding up.
  • Temporal and Contractual Limitations: Past directors are not liable for debts incurred after they ceased office, and no contribution can be demanded unless the Tribunal deems it necessary to satisfy debts, liabilities, and winding-up costs.
Key Landmark Precedents:
  • Re: City Equitable Fire Insurance Co. Ltd., [1925] Ch 407: The Court of Appeal laid down the foundational standards of directorial liability and diligence, holding that where the corporate constitution expands director liability to unlimited status, the burden to satisfy creditors is directly enforceable.
  • Ram Chand & Sons Sugar Mills v. Kanhaya Lal, AIR 1966 SC 1899: The Supreme Court held that officers who undertake unlimited liability under corporate charters or statutory guarantees cannot shelter behind the veil of corporate personality in liquidation proceedings.
Courtroom Practice & Strategic Litigation Guidance:

When defending a former director whose liability was unlimited under the Memorandum of Association, counsel must scrutinize Form DIR-12 and RoC records to establish that the director resigned more than one year prior to the presentation of the winding-up petition, thereby invoking the absolute statutory safe harbour under Section 286(1)(a).
