Section 245 introduces corporate class action litigation into Indian company law, empowering requisite numbers of members or depositors to sue the company, directors, auditors, and consultants for fraudulent conduct.

  • Class Action Suits by Members or Depositors: Requisite numbers of shareholders or depositors may file a class action petition before the Tribunal against oppressive management conduct or prejudicial acts.
  • Restraining Directives and Damages: The Tribunal may restrain ultra vires acts, declare resolutions void, and award damages against the company, defaulting directors, auditors, or expert advisers.

Any order passed by the Tribunal binds all members/depositors.

Key Landmark Precedents:
  • Sahara India Real Estate Corp. v. SEBI (2012) 10 SCC 603: The Supreme Court recognized that collective legal redressal mechanisms are essential to protect dispersed retail investors and depositors from institutional exploitation and securities fraud.
  • Tata Consultancy Services Ltd. v. Cyrus Investments Pvt. Ltd. (2021) 9 SCC 449: The Supreme Court noted that Section 245 provides an express statutory class action mechanism for collective investor remedies, distinguishing class action suits from Section 241 oppression petitions.
Legal Commentary:

Section 245 was enacted as a direct legislative response to the Satyam accounting scandal, where American ADR investors recovered hundreds of millions of dollars through US class actions while Indian retail shareholders had no collective recovery mechanism. Under Section 245, audit firms and merchant bankers face joint and several civil liability for misleading prospectus reports or fraudulent financial statements, with litigation expenses reimbursable from the IEPF.
