Legal Commentary & Landmark Judgments: Section 179

Section 179 vests plenary managerial authority in the Board of Directors, prescribing specific foundational corporate powers that can be exercised exclusively by means of resolutions passed at meetings of the Board.

  • Statutory Powers & Jurisdiction: Section 179(1) contains the general grant of corporate authority: the Board of Directors of a company shall be entitled to exercise all such powers.
  • Core Legal Standard: To do all such acts and things, as the company is authorized to exercise and do, subject to provisions of the Act, memorandum, articles, and general meeting regulations.

Board powers under clauses (d), (e), and (f) may be delegated to a committee or managing director on specified conditions.

Key Landmark Precedents:
  • Rolta India Ltd. v. Venugopal Dhoot (2001) 104 Comp Cas 537: The court affirmed that the Board of Directors derives plenary authority from Section 179, and shareholders in general meeting cannot usurp or dictate the day-to-day commercial management of the company vested in the Board.
  • Sangramsinh P. Gaekwad v. Shantadevi P. Gaekwad (2005) 11 SCC 314: The Supreme Court held that the powers of the Board under Section 179 must be exercised strictly within the boundaries of the articles and the Act; directors exercising board powers for collateral personal motives commit a breach of trust.
  • Tata Consultancy Services Ltd. v. Cyrus Investments Pvt. Ltd. (2021) 9 SCC 449: The Supreme Court examined the division of powers between the Board under Section 179 and the general meeting, emphasizing that the Board is the executive brain of the corporate entity.
Legal Commentary:

Section 179 establishes the core corporate principle of board autonomy. While shareholders own the company, management is vested exclusively in the Board. Resolutions under Section 179(3) cannot be passed by circular resolution under Section 175; they must be physically or electronically deliberated at a formal board meeting, ensuring collegiate discussion on critical corporate financing and investment decisions.
