Act No. 29 of 2019

Legal Commentary & Landmark Judgments: Section 26

Section 26 establishes the statutory entitlement to an annual bonus for every employee earning up to the notified wage ceiling who has worked in the establishment for not less than thirty working days in an accounting year, mandating a statutory minimum bonus of 8.33% of wages or one hundred rupees (whichever is higher) and capping maximum bonus at 20%.

  • Thirty Working Days Eligibility Threshold: Section 26(1) establishes that working for at least thirty working days in an accounting year is the sole statutory threshold for bonus eligibility.
  • Guaranteed Statutory Minimum Bonus (8.33%): Section 26(1) mandates payment of a minimum bonus equal to 8.33% of wages or Rs. 100, whichever is higher, payable irrespective of whether the employer has earned allocable surplus or incurred business losses.
  • Twenty Per Cent Statutory Ceiling and Wage Cap: Section 26(3) caps the maximum bonus at 20% of wages where allocable surplus exceeds minimum bonus; Section 26(2) provides that where an employee's wages exceed the notified ceiling, bonus is calculated as if wages were equal to that statutory ceiling.
Key Landmark Precedents:
  • Jalan Trading Co. (P) Ltd. v. Mill Mazdoor Sabha (1967) 1 SCR 15 / AIR 1967 SC 691: A Constitution Bench of the Supreme Court upheld the constitutional validity of statutory minimum bonus (8.33%), holding that it constitutes a legitimate statutory measure to bridge the gap between actual wages and a living wage, payable irrespective of operational profits or losses.
  • Mumbai Kamgar Sabha v. Abdulbhai Faizullabhai (1976) 3 SCC 832: The Supreme Court held that the Bonus Act codifies profit-sharing and minimum living wage bonus, affirming that statutory bonus rights cannot be defeated by employer accounting stratagems.
  • Workmen of National and Grindlays Bank Ltd. v. National and Grindlays Bank Ltd. (1976) 1 SCC 925: The Supreme Court explained the comprehensive statutory framework of available surplus, allocable surplus, and bonus computation, emphasizing strict adherence to statutory formulas.
Courtroom Practice & Strategic Litigation Guidance:

Minimum bonus of 8.33% is an absolute legal liability from which no established employer can escape by demonstrating balance-sheet losses. However, newly set-up establishments enjoy an exemption under Section 26(6) read with Section 38(2) for their first five accounting years, during which bonus is payable only if the establishment derives net profit from sales. Counsel representing startups must maintain detailed asset capitalization records to plead the new establishment holiday.
