Legal Commentary & Landmark Judgments: Section 20

Section 20 of the Arbitration and Conciliation Act, 1996 distinguishes between the 'place/seat' of arbitration (which determines curial jurisdiction and supervisory courts) and the mere 'venue' of hearings (convenient meeting place).

  • Freedom to Agree on Place/Seat: The parties are free to agree on the place of arbitration.
  • Default Determination by Tribunal: Failing agreement, the place of arbitration shall be determined by the arbitral tribunal having regard to the circumstances of the case and convenience of parties.
  • Convenience Venue for Hearings: Section 20(3): Tribunal may meet at any place it considers appropriate for consultation, hearing witnesses, or inspection of goods, without changing the legal seat.
  • Seat Equated to Exclusive Jurisdiction: Designation of a seat confers exclusive supervisory jurisdiction on the courts of that seat.
Key Landmark Precedents:
  • BGS SGS SOMA JV v. NHPC Ltd., (2020) 4 SCC 234: The Supreme Court authoritatively held that where an arbitration clause specifies a 'place of arbitration' without contrary indicia, that place is the legal 'seat'; designation of a seat confers exclusive jurisdiction on the courts at that seat, excluding all other courts.
  • Inox Renewables Ltd. v. Jayesh Electricals Ltd., (2023) 3 SCC 733: The Supreme Court affirmed that parties can mutually agree to shift the seat of arbitration, and once the seat is shifted, courts at the new seat exercise exclusive supervisory jurisdiction.
  • Bharat Aluminium Co. (BALCO) v. Kaiser Aluminium Technical Services Inc., (2012) 9 SCC 552: The Constitution Bench settled that the 'seat' of arbitration is the territorial home of the arbitration, anchoring judicial supervision.
Courtroom Practice & Strategic Litigation Guidance:

In contracts, use unambiguous phraseology: 'The seat of arbitration shall be New Delhi, and the courts at New Delhi shall have exclusive jurisdiction'; avoid combining conflicting 'venue' and 'jurisdiction' clauses that trigger jurisdictional disputes under BGS SGS SOMA.
